Analog Devices, a leading global chip manufacturer, announced the acquisition of Empower Semiconductor for $1.5 billion in cash. This strategic move is designed to strengthen its position in the rapidly expanding AI data center market by tackling one of the industry’s most significant challenges: power delivery and management.
What Empower Semiconductor Brings to the Table
Based in Milpitas, California, Empower specializes in developing integrated voltage regulator and silicon capacitor chips. These components are crucial for delivering power efficiently close to processors, which reduces energy loss and enhances system performance. Empower’s silicon capacitors are already in production, and its voltage regulator programs are progressing with major hyperscalers and AI chip developers.
Addressing the Power Bottleneck in AI Systems
According to Vincent Roche, CEO and Chair of Analog Devices, energy constraints are a persistent obstacle to scaling next-generation systems. The acquisition aims to enable the combined company’s capabilities to meet the increasing compute density demands of AI infrastructure.
“The deal positions us to better address the compute density requirements of next-generation AI systems,” said Roche.
Leadership and Future Outlook
Following the completion of the deal, Empower’s CEO, Tim Phillips, is expected to remain with the company, leading its integrated voltage regulator technology initiatives. The acquisition is anticipated to close in the second half of 2026, pending regulatory approvals. Both companies’ boards have approved the deal, with financial advisory services provided by PJT Partners and Barclays, and legal counsel from Wachtell, Lipton, Rosen & Katz and Goodwin Procter.
